Terms of Service

Effective June 7, 2026

The short version

By using MetaSpark you accept the terms below. You keep ownership of everything you put into MetaSpark. We provide the platform “as is” with the standard liability limits common to SaaS. Either party can cancel for any reason. Questions: [email protected].

1. Acceptance

These Terms of Service (“Terms”) are a binding agreement between you (“you”, “Customer”) and MetaSpark, Inc. (“MetaSpark”, “we”). By creating an account, accessing the product, or signing an order form referencing these Terms, you accept them. If you are accepting on behalf of an organization you represent that you have authority to bind that organization.

2. The service

MetaSpark provides an agent workforce platform that connects to your work tools, ranks tasks, and automates the parts that don’t need a human. We may add, remove, or change features. We’ll give you reasonable notice before removing any feature you actively rely on under a paid plan.

3. Your account

  • You must be at least 16 to use MetaSpark.
  • You are responsible for the accuracy of the information you provide and for everything that happens under your credentials.
  • Keep your password and any API keys confidential. Notify us immediately at [email protected] if you suspect a credential has been compromised.
  • One person = one human account. Sharing a single login is prohibited.

4. License

Subject to these Terms and your payment of applicable fees, MetaSpark grants you a limited, non-exclusive, non-transferable, revocable right to access and use the product for your internal business or personal purposes. You may not sublicense, resell, white-label, or otherwise commercially exploit the product without a separate written agreement.

5. Acceptable use

You agree not to use MetaSpark to:

  • Break any law or infringe any third-party right (including IP, privacy, publicity).
  • Send spam, phishing, or malware; or harvest contact information at scale.
  • Generate or distribute content that is unlawful, deceptive, harassing, defamatory, or harmful to minors.
  • Reverse engineer, scrape, or attempt to derive the source code or model weights of any non-customer-provided component.
  • Probe, scan, or test the vulnerability of any system without our written permission.
  • Run agents that exceed reasonable usage of connected third-party systems (rate limits, abuse policies). You remain responsible for your agents’ behavior.
  • Train competing models or services on MetaSpark output.

We may suspend or terminate accounts that violate this section, with or without notice depending on severity.

6. Plans, billing, taxes

  • Free plans are offered as-is and may be modified at any time.
  • Paid plans renew automatically at the end of each billing period (monthly or annual) until canceled.
  • Fees are charged in advance. All fees are exclusive of taxes; you are responsible for applicable sales, use, VAT, GST, and similar taxes.
  • Failed payments suspend your account 14 days after the failed charge. Suspended accounts can resume by updating payment within 30 days; after that, data is subject to deletion per the Privacy Policy.
  • Refunds are not provided for partial billing periods except where required by law.

7. Customer data and IP

  • You own everything you upload to or create in MetaSpark (“Customer Data”). You grant us a worldwide, royalty-free license to host, process, transmit, display, and back up Customer Data solely to provide and improve the service.
  • We own the platform — all software, models we develop, designs, and documentation (excluding Customer Data and any third-party content).
  • Feedback you give us about the product is non-confidential and we may use it without restriction.
  • We do not train foundation models on Customer Data. Model providers we route prompts through are contractually prohibited from training on those prompts.

8. Third-party connectors and AI output

When you connect a third-party tool, that tool’s own terms govern its data and behavior. We are not responsible for the availability, accuracy, or security of third-party systems. AI-generated output (text, code, summaries, actions) is non-deterministic and may be wrong. You are responsible for reviewing AI output before relying on it for any consequential decision.

9. Confidentiality

Each party may receive non-public information from the other. The recipient agrees to use confidential information only to perform under these Terms and to protect it with at least the same care it uses for its own similar information (but no less than reasonable care). Excludes information that is public, independently developed, or required to be disclosed by law (with notice where allowed).

10. Warranties and disclaimer

We warrant that the product will materially conform to its documentation when used as intended. Otherwise the product is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. No oral or written information from MetaSpark creates any warranty not stated here.

11. Indemnification

By us:we’ll defend you against third-party claims that your authorized use of MetaSpark infringes that party’s IP rights, and pay damages finally awarded. Standard SaaS conditions apply (you notify us promptly, give us sole control of the defense, and don’t settle without our consent).

By you:you’ll defend us against third-party claims arising from your Customer Data, your acceptable-use violations, or your combination of the product with anything we didn’t provide, on the same terms.

12. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages (including lost profits or lost data) arising out of these Terms. Each party’s total liability under these Terms in any 12-month period will not exceed the fees you paid for the product in that period (or $100 if you’re on a free plan).

These limitations apply even if a remedy fails of its essential purpose. They do not apply to either party’s indemnification obligations, breach of confidentiality, or willful misconduct.

13. Termination

  • You may terminate at any time by canceling your subscription and deleting your account.
  • We may terminate or suspend access for non-payment, material breach (with 30 days to cure), or violation of acceptable use. We may immediately terminate for fraudulent or unsafe use.
  • On termination, your right to use the product ends. You can export Customer Data for 30 days after termination; after that we delete it per the Privacy Policy.
  • Sections that by their nature should survive termination (IP ownership, indemnification, liability limits, governing law) will survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. The parties consent to exclusive jurisdiction of the state and federal courts sitting in Delaware for any dispute that is not subject to arbitration.

Arbitration: any dispute will first be submitted to non-binding informal resolution via [email protected]. If unresolved after 60 days, the dispute will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Class actions and class arbitration are waived.

15. Changes

We may update these Terms. We’ll give at least 30 days’ notice of material changes via email or in-product notice. Continued use after the effective date constitutes acceptance. If you don’t accept, your remedy is to stop using the product.

16. Miscellaneous

  • These Terms are the entire agreement between us, superseding prior agreements on this subject.
  • Failure to enforce a provision is not a waiver. If any provision is unenforceable, the rest stays in effect.
  • Neither party may assign these Terms without consent, except in connection with a merger or sale of substantially all assets.
  • Force majeure: neither party is liable for delays caused by events outside its reasonable control.
